Resolutions of TMR’s Annual General Meeting 2016

VYSOKÉ TATRY (April 28, 2016) – On April 28, 2016 Tatry mountain resorts, a.s. (TMR) held the Annual General Meeting (AGM) at Grandhotel Smokovec, Vysoké Tatry. Shareholders adopted all proposals of the Board of Directors.

TMR shareholders inter alia approved Individual financial statements and the distribution of profit for last year 2014/15 in the amount of EUR 19 thous.  KPMG Slovensko spol. s.r.o. was reelected as TMR’s auditor. Also, shareholders reelected a Supervisory Board member, František Hodorovský, whose prior term had expired.  The Articles of Association have been amended, as well. The changes related to an expansion of TMR’s business activities; the decrease of the number of directors of the Board of Directors from six to four; and the decision-making process of the Board of Directors.

As part of the Business plan for the current financial year the Board of Directors presented a financial plan with annual revenues of EUR 76.0 mil., equal to a 7.2% increase year-over-year.  Earnings before interest, taxes, depreciation, and amortization (EBITDA) are planned for EUR 25.0 mil., a 2.4% increase compared to last year’s EBITDA.

As for the investment strategy, TMR will be focusing on the Polish and domestic operations. Capital expenditures will flow mainly to the Polish resort, Szczyrkowski Ośrodek Narciarski (SON), to the park Śląskie Wesołe Miasteczko (Silesian Amusement Park), and for enhancement of service quality in the Slovak resorts.

Tatry mountain resorts, a.s. In the High Tatras TMR also owns hotels Grandhotel Praha Tatranská Lomnica, Grandhotel Starý Smokovec, and Hotel FIS Štrbské Pleso. TMR also indirectly owns a 9.5% share in Melida, a.s., which leases and operates the resort Špindlerův Mlýn in the Czech Republic. In Poland TMR owns a 97% share in the mountain resort Szczyrkowski Ośrodek Narciarski S.A. (SON), a 75% share in  Silesian Amusement Park (Śląskie Wesołe Miasteczko), and a 7.3% share in a learn-through-fun project via the Polish company Korona Ziemi Sp. z o.o. TMR also owns and leases hotels Slovakia, Kosodrevina, Liptov and Ski&Fun Záhradky a Bungalovy to third parties. By the end of 2015 EUR 206 mil. had been invested into development and modernization of TMR’s resorts. TMR shares are traded on three European stock exchanges – in Bratislava, Prague, and Warsaw.
